This page states the Terms and Conditions for you as a Visitor on the website www.Edha.life.

These Terms govern and apply to your access and use of this platform/website/web portal which is Edha (www.edha.life) for online counseling, coaching, and other related services.  By accessing or using the Services through this platform/website/portal, you agree to comply with and to be bound by all the terms and conditions described in this document. 

You may kindly read our Terms & Conditions, Privacy Policy, Cancellation Policy, and all other information available on our website before proceeding with availing our services.  In case you have reservations or do not agree with any of our terms and conditions and/or information, then you may choose to refrain from seeking professional services, through this platform. 

Edha reserves the right to revise these Terms and Conditions and/or any other policy or information at any time by updating the same on their website.  Before seeking any service/s you should visit our pages and information in case of any updates or change/s.

Context

This Website also would be referred to as portal, is owned and operated by Edha (Edha is a Brand of the Company, registered as Idalia Mental Health LLP incorporated under the provisions of the Companies Act, 2013 and having its registered office at D-16/11, Second Floor, Ardee City, Sector-52, Gurgaon – 122003, Haryana).

These Terms and Conditions (“Terms”) govern your use of the Website and the services provided therein (“Services”). By using or visiting the Website or by using any content or information provided as part of the Website/Services, you shall be deemed to have read, understood, and accepted to be bound by these Terms. These Terms are a legal contract between you and Edha (registered as Idalia Mental Health LLP).

You must read and review the Terms carefully before accessing or using the website and the services being offered. These Terms are not intended to alter in any way or limit the Terms or Conditions of any other agreement that you may have with Edha, including without limitation the privacy policy ("Privacy Policy").

Definitions

1. Company: Edha, “Edha.life”, “Company”, “Organization”, “Firm”, “we”, “our”, “us”, “Service Provider” or similar terminology are all about Edha (Company registered as Idalia Mental Health LLP) as a platform to provide professional Services for the remainder of this document.

1. “Website”, “Website” means and refers to the content on domain www.edha.life available through the internet, which exists as service provider. It can also be referred to as “portal” or “Platform” in Terms and Conditions; but it all means the same, which is website.
2. User: “Client”, “user”, “you”, “your” or other similar terminologies are all about you, as the user of the website/web application, mobile application(s), and as a recipient of our Services and resources for the remainder of this document.
3. “Expert”, “Practitioner”, “Psychologist”, “Psychiatrist”, “Therapist”, “Coach”, “Instructor”, “Professional”, “Facilitator”, “Professional”, they all mean, those individuals who are registered with us on the platform basis their education, experience, expertise, and intentions to provide their kind of services through this website. These words can be interchangeably used in this document and at all places, but they all mean the same, the service provider.
4. “Service” means the offerings in those areas of expertise of experts and professionals available on the platform basis their experience. These service areas may change basis the dynamic needs of individuals and masses.
5. “Counselling” refers to the process in which an expert from the respective field uses a broad range of most appropriate practices and/or interventions to help improve mental and emotional well-being of their Client, maybe prevent future distress and maladjustment, crisis in life or any other pertinent concern area, for which he has been trained and has appropriate knowledge and competencies to deal effectively.  These professionals or experts can be called/referred to as Counsellors, Psychologists, Psychiatrists, and Therapists on this platform/website. These professionals would in general be referred to as “Counsellors” as well.   
6. “Coaching” refers to the process adopted by a Coach, who is a trained and certified expert to improve performance of their Client or an individual. This process is not about teaching an individual, rather, the approach is to facilitate an individual unlock their own potential to maximize their own performance and meet up their personal or individual Goals.  Those professionals who provide coaching are called, Coach.  A Coach may have his specific field such as relationship coach, performance Coach or can be a Life Coach, to facilitate general well-being and improvement in life conditions.
7. “Guidance” refers to the people who guide you toward other professional services, which may include, tuition, meditation, training, classes, yoga, spirituality, or any other professional services toward improving performance or to become a better person. 

Nature of Service

Edha is a platform to connect Clients seeking professional services to Professionals from various fields. The platform also caters to Clients seeking mental and emotional support services to individuals, couples, groups, and organizations through Experts. Services also includes Coaching individuals and groups to be able to meet their personal and professional goals.  Services and support include, but are not restricted to, all of the below. Edha services and offerings may include/are and may keep on adding or modifying services basis requirements from time to time.

Below are a few service offerings of Edha :

• Counselling, Coaching other Self-improvement services through experienced & competent Counsellors, Psychologists, Therapists, Psychiatrist, Coaches, and other Instructors. These Experts/Practitioner/s and coaches are those, who have volunteered to use Edha platform to provide their services and Edha has authorized them to use this platform to render their services. Authorization does not mean that Edha or its representatives or employees have validated the authenticity of the service provider and their credentials.
• Articles, Videos, content, Information, any self-help guide or notes through this platform or through professionals are reference/s for you which you may opt to use, but is not necessary.
• Employee Engagement Programs is all about briefing and providing psychological counselling and support and maybe Coaching too, at group level and organizational levels.
• This platform also enables Coaches to facilitate and support Individuals or groups in meeting their individual, personal, and professional goals.
• From time to time, Edha may also conduct workshops and webinars on relevant subjects such as psychology, coaching, spirituality, relaxation techniques, and others by engaging experts from their respective fields.
• Edha may involve their professionals to create video content on the subject and topic of their choice. The opinions and content and its delivery would be solely of these professionals and Coaches only. Edha would not have any role in that, except in creating and uploading videos.  Edha would just have their Videos on our platform, but does not own it and takes any sort of responsibility that the video content; way of communication on the subject, correctness of information, solely belongs to the speaker of the video and Edha does not take ownership of it all, whatsoever.

The Services offered by Edha are in compliance with our client anonymity and confidentiality policies (refer to Privacy Policy).  Edha reserves the right to add or remove Services from its overall offerings, without any prior notification.

The aforementioned shall hereinafter be referred to as “Services”.

Disclaimer

Edha – This is an initiative by Idalia Mental Health LLP registered with MCA.

Any advice that is provided by experts from the field of psychology, Coaches or any other professionals through Edha platform, is of these professionals and Edha does not have any role to play.  Edha is a platform to connect service-seeking individuals or groups to professional service providers through this platform.  Edha advices all the seekers of professional services to use their own discretion before they avail service/s from the available service providers on the portal. 

Any service or consulting that is critical cannot be taken as a substitute for examinations of your condition by a Doctor or a professional mental health expert, as the case may be, for contacting and speaking with any Counsellor, Psychologist, Psychiatrist, Therapist, or any other person available on the platform as under Counselling or requiring mental health care.  You are strongly advised against relying solely on or making decisions based solely on advice provided by any Counsellor or experts on this platform.

You understand and agree that although a Counsellor or a Coach may be a qualified clinical or counseling psychologist or other mental health professional or Coach, Edha disclaims any liability for any consultation, therapy services, or Coaching rendered by a Counsellor or Coach or any other professionals on the platform to you, through the website. You further acknowledge and agree that you take full responsibility for the decision to access an expert of your choice through the website and to continue to interact with such individual/s and that the role of Edha is strictly limited to providing access to such experts, Counsellors, Coaches and other professionals who are experts in their field, to you.

If you use any of the services through Edha website (platform), you are solely responsible and are using it at your discretion. Edha, registered as Idalia Mental Health LLP is not liable in any manner, irrespective.  Even when you have consulted any full-time, part-time, or anyone working or associated professional/s with Edha to talk to, to understand, and go for a session with any Practitioner or Coach. It is primarily your decision and Edha does not take any responsibility or ownership of the same. Edha is a platform to connect you with, presumably qualified and competent experts from their field to assist you with your needs.  Please note, that Edha does not verify the credentials of the professionals who are registered with us on our portal, we assume that these professionals share correct and relevant information only, on the portal. It is solely up to you as a seeker of services from these professionals on the platform to ask, check, and authenticate their credentials, and only if satisfied, you must proceed with any consultation with these professionals.  Edha does not play any role, whatsoever. 

Edha through its platform and otherwise, does not deal with any medical or psychological emergencies, whatsoever. Edha is not designed to offer support in any crises – which may include when an individual is experiencing thoughts of self-harm or suicide or is showing symptoms of severe clinical disorders or other psychotic conditions. In these cases and other similar situations, in-person medical intervention is the most appropriate form of help to be provided to the person, immediately and Edha is not the platform for the same.

In case, you are experiencing or you feel you are having any of these difficulties, or if you are considering or contemplating suicide or feel that you are a danger to yourself or others, we would urge you to seek help at the nearest hospital or emergency center where you can connect with a psychiatrist, Therapist, Counsellor or designated social worker in person, immediately. Further, in case of any medical or psychological health emergency, we recommend you seek help from a person from family or friend or anyone present at that time for immediate support followed by taking you to the right place for assistance.

Agreement Applicability & Prohibitions

By choosing to visit and/or avail of any Services and/or resources from Edha, the user confirms that you are above 18 years of age and not otherwise incompetent to contract under the Indian Contract Act, 1872, and that your use of the platform shall not violate any applicable law or regulation. The user also accepts and agrees to our Terms and Conditions and policies referenced herein and/or available on this website and/or through hyperlink/s.

We request you to kindly read our Terms and Conditions. The Terms and Conditions and all policies present on the website are in effect upon your using or availing of services, resources, or any support from this platform. Accessing the service/platform on any medium, including but not limited to websites, mobile phones, smartphones, and tablets, is also subject to the Terms and Conditions mentioned here.

Continuing to use Edha website, you as a Client make no payment to this platform whatsoever.  Paying for any of the available service/s or professionals forms an obligatory legal agreement between the user and the service provider. Liability to review the Terms and Conditions from time to time lies with the user. Continuation of the use of the platform after revision of the Terms and Conditions will be deemed to be an acceptance of the revised Terms.

These Terms and Conditions apply to all users of the platform, including without limitation users, who are browsers, vendors, customers, merchants, professionals, and/or contributors of content.

By availing any professional services, the user irrevocably accepts all the obligations stipulated under the Terms and Conditions and Privacy Policy, and other policies referenced herein; and agrees to abide by them. These Terms and Conditions supersede any previous oral or written terms and conditions that may have been updated or communicated to you.

We assume, that all registration information that you as a visitor or the Professional available on the platform submit to avail of any of our mentioned services on our website is correct and truthful and that you agree to maintain the accuracy of such information.

Your use of the platform is solely for your personal use only, unless and until you are an Organization and wish to avail services for your employees. Any use of this platform or its content other than for the above two types of usage is strictly prohibited.

As an individual or if you are an Organization and wish to avail services for your employees, use of our website/platform shall be subjected to the following restrictions:

You shall not modify any content of the platform, whatsoever.

You shall not decompile, reverse engineer, or disassemble the content.

You shall not modify or delete a part of or any content of the platform and/or services, including but not limited to, legal notices, disclaimers, or proprietary notices such as copyright or trademark symbols, or logos, that you do not own or have express permission to modify.

You shall not use the platform and/or services in any way that is unlawful or harms the Company or any other person or entity, as determined in the Company’s sole discretion.

You shall not solicit others to perform or participate in any unlawful acts.

You shall not reproduce, duplicate, copy, sell, resell, or exploit any portion of the service/s, use of the service/s, or access to the service/s or any content on the platform through which the service/s is provided, without express written permission from Edha (Idalia Mental Health LLP).

You shall not post, submit, upload, distribute, or otherwise transmit or make available any software or other computer files that contain a virus or other harmful component, or otherwise impair or damage the platform and/or services or any connected network, or otherwise interfere with any person or entity’s use of the platform and/or the services.

You shall not harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

You shall not attempt to collect or track the personal information of others on/through this platform/website, whatsoever.

You take responsibility for checking the complete details required before availing of any of the offerings being offered by any professional through this platform, independently.

You as a Client or visitor agree that you do not have to pay any fees or charges to Edha, the platform, either online or to any of the employees or vendors associated with Edha.  We do not ask for any fees from any of the Clients availing services. Edha takes fees only from professionals who create an account on the website and wish to recharge their account. It is completely up to a professional to recharge their account, at will, per their convenience and Edha does not force you to do so.

All applicable fees are to be paid to your Experts from whom you agree to seek any service through this platform.  This exchange of fees is always between the seeker of the services and the professional willing to offer their services to you after connecting through the Edha platform.

An Expert or a service provider professional on the platform can create their profile without any charge, at any time. For an Expert to be able to get in touch with a visitor on the website you will have to recharge your account with any available denomination on the website. Every recharge gets you certain pre-decided credit points that can be used to get the mobile number and email ID of the visitor.  Once an Expert or a service provider gets the contact number of their Client, then they can connect with them, understand their requirement, and share details about their service offerings. You, as a professional, may share your fees for your services with your Client and charge them, as agreed mutually, between you and your Client. Edha does not have any role to ask you to keep your fees nor does Edha help you get your fees from your Clients, either before availing your services or post. 

You acknowledge that when you access a link that leaves the platform, the site you enter into is not controlled by the Company and different terms of use/conditions and privacy policies may apply. By accessing links to other sites, you acknowledge that the Company is not responsible for those sites. The Company reserves the right to disable links from third-party sites to the platform, although the Company is under no obligation to do so.

You may not host, display, upload, modify, publish, transmit, update, or share any information that belongs to another person and to which you do not have any right to deceive or mislead the addressee about the origin of such messages or communicate any information which is grossly offensive or menacing and threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any other nation.

You shall not post, use, store, or transmit information that infringes or violates any of the intellectual property rights of others or the privacy or publicity rights of others. 

You shall not post, use, store, or transmit any unsolicited email and/or advertisement or promotion of goods and services.

You shall not attempt to disrupt the operation of the Service by any method, including through the use of viruses, Trojan horses, worms, keystroke logger, spyware, adware, denial of service attacks, flooding, or spamming.

You shall not use the service in any manner that could damage, disable, or impair the Service. You shall not attempt to gain unauthorized access to any user accounts or computer systems or networks, through hacking, password mining, or any other means.

You shall not interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet.

You shall not use any robot, scraper, malicious code, or other means to access the service for any purpose.

We reserve the right to terminate your use of the service or any related website/mobile application/platform for violating any of the prohibited uses.

Intellectual Property

The contents on the website are for informational purposes only.  Edha disclaims all liability to any person for any loss or damage caused by dependence on any part of the website. Third-party content appearing on the platform is the property of their respective owners and Edha does not assert any rights about the same. Such third-party content is used by Edha subject to the fair use provisions of Indian copyright law and applicable provisions in other jurisdictions. Edha asserts its copyright ownership on the remaining contents of this document. No information, content, or material from the platform and/or services may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without express written permission from Edha.

Payment and Refunds

By using this platform, you agree to pay all applicable fees as mutually agreed between you and the service provider through this platform. You as a seeker of professional services need not have to pay any fees to Edha, the website, or any of the representatives or Company members.

Every service offering provided by registered professionals on Edha website will have certain fees and it is up to you as a seeker of services from these professionals to ask, confirm, and pay for the same, and Edha has no role to play here.  You as a seeker of services must ask in detail everything relevant from the professional of your choice before you commence your consulting or services from the available professionals on the portal and only when convinced with all the requisite information, you must proceed to avail of respective service/s. Please note, that the service fees being offered by all the professionals on the website are decided by these professionals only and Edha does not have any role, whatsoever.

All cancellations and refunds will be handled as per the Cancellation & Refund Policy of the Company. Edha reserves the right to change any or all parts of the Cancellation & Refund Policy without notice or liability to the user or any third party.  Any such change shall be binding and effective on the User and is to be factored in as applicable above.  Please read the cancellation and refund policy available on this website.

Further, Edha shall not be responsible for any fraudulent transaction/decline/lack of authorization that may arise due to the use of Internet Banking/ Debit/Credit Cards (“Virtual Payment Mode”).

Privacy Policy

Usage of this platform or online resources is subject to the Privacy Policy of the Company. Please read the Privacy Policy carefully. Edha reserves the right to add, change, or remove sections from the Privacy Policy without notice or liability to any third party.

Limitation of Liability

Edha permits you as a professional service provider on the website to create your account, recharge your account, and get in touch with Clients seeking your services. Edha shall in no way be responsible for any dealing or exchange of information between you and your Client/s, including those related to your fees, quality of service and/or cancellation, rescheduling or refund. 

The Company reserves the right to terminate your registration with the platform at any time without citing a reason.  This could be due to any complaints as shared by your Client or anyone who has had an unprofessional experience with you for any incorrect information and/or very inferior quality of services in any manner and/or for any misconduct with your Client. 

Edha is a business model that connects the user and the experts across fields. Further, the professional service is dependent on the information provided by the user/Client to the professionals on the portal, who could be Counsellors, Psychologists, Psychiatrist, Therapists, Coaches and other experts available on the platform and Edha does not promise any outcomes, based on counseling, therapy or Coaching of any type or any other services as provided by service providers through our platform.  

Counseling and/or Coaching or any other service/s will take place at a frequency agreed between you and your expert and/or Coach or any other registered service provider. We cannot guarantee that your services will always take place with a particular frequency or on the same day of the week.  It also depends upon the understanding and availability of you both, that is, you and the service provider.

All consultations between you as a service seeker of service/s are solely between you and the expert, who is the service provider.  Edha does not have any role to play between you both, other than a medium to connect you both. Edha does not have any role to play between you and the expert of your choice in deciding upon the number of consulting or sessions, frequency of these, and/or duration and termination of these services. 

Edha does not verify the credentials of any expert/service provider registered on the website www.edha.life. Therefore, Edha is not responsible for any misrepresentation/fraudulent credentials or claims by any Practitioner and/or Coach or any other expert available on the platform. Edha provides a profile page to all the experts/Practitioners where one can conveniently enter their information regarding their academics, experience, areas of expertise, education, languages known, and others.  This is also made visible to the user when they search for their respective service.

This personal account page is editable by the Practitioner/Expert at any time and multiple times for its correctness.  Thus, it is the responsibility of the Practitioner or an Expert to check for the correctness of this information even when someone from Edha might have assisted in filling in the information. 

All registered Professionals/Experts are free and allowed to use this platform to provide services to their Clients. Edha does not assume any responsibility for their actions, advice, or any other information provided through this platform or otherwise. Edha shall not be held liable for any damage/ loss/ liability caused to the user by any of the registered professionals, Practitioners or Expert either directly or indirectly. The user is responsible for all their decisions and actions and agrees that they are made independent of any representations by Edha the Practitioner and/or Coach or any other expert on the platform. You as a user of services from any of the available professionals on the platform are free to use your discretion and wisdom to seek service/s from any of the professional/s of your choice provided you have had a detailed conversation with your service provider and are satisfied with the their answers.  Edha shall in no way be held accountable for any unforeseeable outcome as a result of your consultation with your service provider.  

Edha is neither a part of, nor does it endorse or influence control over any particular branch of medicine, theory, opinion, viewpoint, or position on any topic. No warranty, guarantee, or conditions of any kind are created or offered on information advice, or suggestion, whether expressed and/or implied, in oral and/or written via any communication medium, obtained by you from Edha or through any service and/or resource and/ or information that Edha provides, except for those expressly outlined in and under Terms and conditions.

The services, including content, on both, the Edha platform and third-party platforms, if any, are provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or timelier sources of information. We are not responsible if information made available on Edha and third-party platforms is not accurate, complete, or current and any reliance on the services, including content, on the Edha and third-party platforms is at your own risk.

This platform may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this platform at any time, but we have no obligation to update any information on our platform. You agree that it is your responsibility to monitor changes to this platform. The content that the user downloads or otherwise obtains through the use of our services and/or resources and/or information is done at their discretion and risk, and the user is solely responsible for any damage to their computer or other devices for any loss of data or information that may result from the download of such content.

We reserve the right to modify or terminate any portion of the platform or the services offered by the Company for any reason, without notice and liability to the user or any third party.

Edha makes best efforts to ensure that all information is delivered accurately and correctly. However, any material downloaded or otherwise obtained through the platform and/or services is accessed at your own risk, and you will be solely responsible for any damage or loss of data that results from such download to your computer system.

You hereby indemnify, defend and hold the Company, its Directors, owners, employees,  representatives, Company professionals, agents, and other authorised users and each of the foregoing entities’ respective resellers, distributors, service providers and suppliers if any, harmless from and against any and all losses, damages, liabilities and costs arising from your use of the platform.

In the event of any concern or problem with the service/s or due any of its content or with regards to your use of the website, stated services or otherwise, arising out of or in relation to these terms, you agree that Edha (brand of Idalia Mental Health LLP) total aggregate liability to you for all and any damages, losses or action (whether contractual or otherwise) shall be limited to the amount of payment made by you to Edha in the past one month, unless otherwise required by applicable law.

Under no circumstances, Edha or their experts, licensor, third party who provide or promotes these services available on the website or provides you with the link to the services be liable in any way for your use of the service/s or any of its content, including, but not limited to any errors or omissions in any content, any infringement by any content of the Intellectual Property Rights or other rights of third parties or for any loss or damage of any kind incurred as a result of use of the available content. 

You as a user of the services through Edha, through the portal, directly or otherwise agree

that neither Edha (www.Edha.life) nor its subsidiaries or other brands of Idalia Mental Health LLP, Directors, Executives or employee shall be liable for any direct and/or indirect and/or incidental and/or special and/or consequential and/or exemplary damages, resulting from the use and/or the inability to use the service and/or resulting from any goods and/or data and/or information and/or services availed and/or obtained and/or messages received and/or transactions entered into through and/or from the service and/or resulting from unauthorized access to and/or alteration of user's transmissions and/or data and/or arising from any other matter relating to the service, including but not limited to, damages for loss of profits and/or use and/or data or other intangible, even when Edha has been advised of the possibility of such damages.

You as a user further agree that Company (Edha) shall not be liable for any damages arising from interruption, suspension or termination of service/s, including but not limited to direct and/or indirect and/or incidental and/or special consequential and/or exemplary damages, whether such interruption and/or suspension and/or termination was justified or not, negligent or intentional, inadvertent or advertent.

You as a user of any of the service/s through this platform agree that Edha shall not be responsible or liable to user or anyone, for the statements or conduct of any third party of the service. In sum, in no event shall Company's total liability to the User for all damages or/and losses or/and causes of action exceed the amount paid by the User to Edha, irrespective, that is related to the cause of action.

Any link (including a hyperlink, button or referral device of any kind) used in the service is provided for your use and convenience. The appearance of a link does not constitute an endorsement, recommendation or certification by Edha, nor should the presence of a link in any way be construed as a suggestion that any third-party website has any relationship with Edha.

Edha does not endorse the content on any third-party websites. Edha is not responsible for the content of linked third-party websites or third-party advertisements and does not make any representations regarding its content or accuracy.  Edha does not knowingly link to websites that may infringe on valid and existing trademarks, service marks, copyrights, or patents. Your use of third-party websites is at your own risk and subject to the terms and conditions of use for such websites.  In case you do not feel comfortable with any of the services or Terms of Conditions, you may choose to refrain yourself from availing such service/s.

As the platform is dynamic, it may happen, maybe occasionally, that there may exist information on this website/platform that may contain errors related to content, inaccuracies or omissions that may relate to service descriptions, pricing, promotions (if any), offers or any typographical errors etc. We reserve the right to correct these errors, inaccuracies or omissions and to change or update information or cancel orders if any information in the service or on any related website is inaccurate at any time, without prior notice maybe even after you have booked your session or services with us.

We undertake no obligation to update, amend or clarify information in the service or on any related website/mobile application/platform, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the service or on any related website, should be taken to indicate that all information in the service or on any related website has been modified or updated.

You as a service seeker understand and agree that any interactions and associated issues with all kinds of Experts, Practitioners or Professionals on the platform, is strictly between you and the Experts/Practitioners. As it is between you and them, therefore, you shall not hold Edha for any such interactions and associated issues. When you, as a service seeker decide to connect and engage with an Expert, Professional or Practitioner for their service/s through the portal, you do so at your own discretion and risk. The content and services and all materials, information, are provided on an “as is” and “as available” basis without warranties of any kind.

Edha and its licensors and affiliates expressly disclaim all warranties of any kind, express, implied, or statutory, relating to the content and services.

In addition, Edha and its licensors and affiliates disclaim any warranties regarding security, accuracy, reliability, timeliness and performance of the Services or that the services will be error-free or that any errors will be corrected. No advice or information provided to you by breakthrough will create any warranty that is not expressly stated in these Terms of Service.

We make no representations concerning, and do not guarantee, the accuracy of the Services, including, but not limited to, any information provided through the Services or their applicability to your individual circumstances.

We may provide you with access to third-party tools which we neither monitor nor have any control or input over. Such tools may be in the form of, but not limited to, information, maybe assessments, polls and their results etc. You acknowledge and agree that we provide access to such tools on an “as is” and “as available” basis without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of optional tools offered through the platform is entirely at your own discretion and risk and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

Third-party links, if available on this platform, may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites or for any other materials, products or services of third-parties.

Over the course of the period of the agreement, we might incorporate additional services and/or products (if any) from third-party providers on our platform. By using such additional services or products (if any), it is understood that the user has read, understood and agreed to the terms and conditions of the corresponding third-party provider. Edha shall not be held liable for any risk/ damage/ liability arising from use of such third-party Services, products, content, resources or any other transactions made in connection with any third-party websites. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

You agree that from time to time, Edha may remove the service (or part thereof) for indefinite period of time or cancel the service at any time, without any notice to you, prior or otherwise.

You agree to indemnify Edha against any breach in confidentiality. If you access Edha through a third-party platform, you agree that Edha cannot be responsible for any data breaches that occur due to any acts of commission or omission from the third-party platform.

You agree to indemnify, defend and hold Edha, Directors, Executives, employees, interns, affiliates, agents, contractors, suppliers, service providers or licensors be liable, responsible, harmless against any claim or demand, including reasonable attorneys’ fees, made by any third-party due to, or arising out of your breach of this agreement or the documents they incorporate by reference or your violation of any law or the rights of a third-party any injury, loss, claim or any direct, indirect, incidental, punitive, special or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service/s or any products procured using the services or for any other claim related in any way to your use of the service/s or any product (if any), including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the services or any content posted, transmitted or otherwise made available through platform, even if advised of their possibility. In all cases, our maximum liability shall be limited to the amount paid by you, if at all, for service/s availed, in dispute.

The User unilaterally agree to indemnify and hold harmless, without objection, the Company, its Directors, Executives, employees, interns, affiliates, agents, service providers, licensors against any claims, actions and/or demands and/or liabilities and/or losses and/or damages whatsoever arising from or resulting from their use platform (www.Edha.life) or breach in confidentiality or their breach of the terms.

Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

This Terms and Conditions is effective unless and until terminated by either you or the Company. You may terminate this agreement (as under Terms and Conditions) at any time by notifying us - directly or if you are accessing the platform through a third-party, then through the respective third-party, that you no longer wish to use Edha’s services or when you cease using our platform, subject to settlement of all outstanding payments.  However, you may keep your account open as well, so that, you may come back to avail services through this platform, in future. You may terminate your account any time as you desire.  Please read Cancellation and refund policy available on this website www.edha.life. In case, you as a service provider on the platform uanbel to terminate your account by yourself, then you may please reach out to the Team at Edha for termination of your account.   Edha will process all such requests within 07 Business days, in line with our Terms and Conditions and Privacy Policy and subject to necessary compliance with applicable laws.

If in our sole judgment you fail or we suspect that you have failed to comply with any term or provision of these Terms and Conditions, we may also terminate this agreement at any time without notice and you will remain liable for all amounts due, up to and including the date of termination and/or accordingly we may deny you access to our services (or any part thereof).  Any account balance of yours under your account shall not be refunded.

Over the course of the term of the Terms and conditions, Edha can choose to terminate association without citing a reason. Any payment receivable by Edha should be paid by the user in full, within 15 days from the termination of the agreement. Any payment receivable by the user will be processed by Edha as per our Refund Policy. Please read cancellation and refund policy.

Grievance Handling

In case you, as a seeker of professional service/s come across any concern with regards to your consultation, session/s or service/s, with your Practitioner/s or Experts or of any other nature and you wish to bring it to our notice, then you may reach out to us, immediately. 

You as a user of services, in any scenario, if not satisfied with any professional service provider then you may drop in a mail to Edha and the Company shall look into the matter and may take appropriate action against the service provider basis discretion from case to case, as deemed fine.

Respective Team/concerned person shall get back to you within two weeks. Just in case, if we miss out on the timeline/s, then please feel free to call us up using the phone number available on our website and we shall attend to your concern, accordingly.

Jurisdiction

Jurisdictional policies of Edha have been drafted in accordance and compliance with Indian laws.  The Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Terms and Conditions or their subject matter or formation or the use of the services shall be governed by and construed in accordance with the laws of India, subject only to mandatory provisions of consumer law in the country in which you reside. 

Any and all disputes arising between the user and Edha with regards to the services, the Terms and Conditions, which could also be with regards to the interpretation of the Terms and Conditions shall be subject to the exclusive jurisdiction of the courts at Gurgaon, Haryana, India.

You agree that the Courts of the States/Country in which you reside shall have non-exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the services, the Terms or their subject matter or formation.
