Terms of Use

These Terms govern use of EDHA, an online platform operated by Idalia Mental Health LLP, including discovery, booking, payment, online-session and account workflows.

1. Platform role

EDHA is an online technology platform operated by Idalia Mental Health LLP. EDHA facilitates discovery, booking, payment and the online session experience with independent mental health professionals. The selected professional provides the professional service independently and remains responsible for professional judgement, competence, confidentiality, documentation, referrals and applicable professional obligations.

2. Adult eligibility and accounts

EDHA's current counselling-booking service is intended for adults aged 18 or above. Users must provide accurate information, keep credentials secure, maintain control of their registered email/mobile and promptly report suspected unauthorised account use.

3. Professional profiles and verification

EDHA reviews information supplied by professionals before publication and may verify identity, qualifications, training, experience and registration/licence information where applicable. Verification is a platform eligibility process - it is not a guarantee of outcome, conduct or suitability for every person or concern.

4. Choosing a professional

Users should review the professional's verified designation, experience, stated areas of support, languages, service modes, duration and fee before booking. EDHA may help with discovery or matching but does not make a clinical diagnosis or promise a particular outcome.

5. Bookings and lead time

A booking is confirmed only after the applicable payment succeeds. EDHA requires at least four hours' advance booking. Availability remains subject to the professional's published schedule and existing confirmed bookings.

6. Prices, taxes and payment processing

The amount shown at checkout is the amount payable for the selected session. EDHA does not separately add GST in the current launch configuration. Tax treatment remains subject to applicable law and may change if required. Payment processing is provided through the configured payment gateway, and payment success is subject to gateway confirmation.

7. Post-payment contact information

Registered contact details of the booked professional and client may be shared with each other only after successful payment and confirmed booking, for legitimate session coordination and permitted rescheduling. Contact information must not be misused for marketing, harassment, solicitation or unauthorised disclosure.

8. Rescheduling, cancellation and refunds

EDHA encourages rescheduling rather than cancellation. A confirmed booking may be rescheduled only with the same Mental Health Professional, ordinarily at least two hours before the scheduled start and normally once per booking. A booking cannot be transferred to another professional. Where an eligible change-professional refund is approved, the existing booking is refunded and the client makes a fresh booking. All revised dates/times must be updated inside EDHA. Detailed refund, no-show, professional-cancellation and technical-failure treatment is governed by the Cancellation, Rescheduling & Refund Policy.

9. Online sessions and device limitations

Sessions may be offered by video, audio or secure chat depending on the professional and device/browser capability. Internet, device, power or provider failures may interrupt a session. EDHA may provide supported fallback options but cannot guarantee uninterrupted connectivity on every device or network.

10. Session privacy and recording

EDHA does not record standard counselling video or audio sessions. Users and professionals must not secretly record, redistribute or misuse session content or shared documents. Limited operational metadata may be retained for security, service operation, dispute handling and professional payout verification.

11. User conduct

Users must not impersonate another person, misuse another person's account, interfere with platform security, harass professionals or other users, upload unlawful/malicious material, attempt unauthorised access, scrape protected data or use EDHA in a way that violates applicable law.

12. Emergency limitations

EDHA is not an emergency or crisis response service. If there is immediate risk or urgent medical or mental-health need, seek local emergency/in-person care or the nearest hospital. Government of India Tele-MANAS provides 24x7 mental health support at 14416 or 1800-89-14416.

13. No guarantee of outcomes

Mental-health support is individual and outcomes cannot be guaranteed. EDHA does not warrant that a particular professional, session format, therapeutic approach or resource will meet every user's needs.

14. Third-party and service-provider dependencies

Parts of EDHA depend on third-party infrastructure such as hosting, communications, live-session and payment providers. EDHA may change providers or temporarily restrict a function where reasonably required for security, maintenance, legal compliance or service continuity.

15. Suspension or termination

EDHA may restrict or suspend access where reasonably necessary for security, fraud prevention, abusive or unlawful conduct, credential concerns, material policy breach or protection of platform users, subject to applicable law and reasonable review where appropriate.

16. Intellectual property

EDHA's brand, platform design, original website content and platform software are owned by or licensed to Idalia Mental Health LLP, except for material clearly belonging to professionals, users or third parties. Access to EDHA does not transfer ownership rights.

17. Professional independence and liability framework

EDHA does not supervise, prescribe, direct or control the professional judgement, therapeutic methodology, counselling content, clinical decisions, opinions, communications or documents independently provided by a Mental Health Professional. The professional remains responsible for services delivered within their competence and applicable legal and ethical obligations. To the extent permitted by applicable law, EDHA is not responsible for professional judgement, therapeutic outcomes, statements, advice, methodologies, conduct or materials independently provided by a professional. Nothing in these Terms excludes rights or responsibilities that cannot lawfully be excluded or limited.

18. Professional conduct concerns

If you feel uncomfortable, unsafe or concerned about the conduct of a professional, you may discontinue the interaction where appropriate and write to ask@edha.life with your booking reference and a factual description. EDHA may review relevant platform records, seek information from the professional, restrict or suspend the profile or take other appropriate platform-level action. EDHA's review is not a substitute for contacting police, emergency services, a statutory/regulatory body or another competent authority where appropriate.

19. Changes to the service or terms

EDHA may update platform features and these terms. Material changes should be versioned and, where required, users may be asked to accept an updated version before continuing relevant services.

20. Support and policy framework

The Privacy Policy, Confidentiality notice, Informed Consent, Cancellation/Rescheduling/Refund Policy and Professional Participation Terms form part of the applicable EDHA framework. Contact EDHA through the support page for platform, booking, payment or account issues.

Account closure

Clients and professionals may use the self-service account closure facility when there are no open or unresolved sessions, transactions, refunds, disputes or support matters. A professional account cannot close while any professional payout remains unsettled. Closure is permanent and active profile/account information is removed or anonymised. Limited records may be retained where required for payments, accounting, fraud prevention, audit, disputes, security, professional verification or compliance with applicable law.

Admin-assisted account closure

Where a client or professional asks EDHA to close an account, the request should be sent from the registered email address. EDHA Super Admin may complete closure only after the platform confirms that no open session, pending payment, refund, professional payout or unresolved support/review matter remains. The administrator processing the request must record their name, the date/time and the reason for closure. EDHA retains a limited closure audit record and any records that must be retained for legal, accounting, payment, dispute, fraud-prevention, security or professional-verification purposes.

Institutional sessions

EDHA may facilitate separately arranged talks, workshops, webinars, panels and related mental and emotional well-being sessions for organisations, institutions, NGOs and community groups through suitable independent Mental Health Professionals. These engagements are separate from individual counselling bookings. Scope, audience, format, professional, date, duration, location, fees and other commercial or operational terms are agreed separately for each engagement. A professional's normal counselling fee displayed on EDHA does not set the fee for an institutional engagement.
