Professional Participation Terms
These Terms govern participation by individual Mental Health Professionals on EDHA, an online platform operated by Idalia Mental Health LLP.
1. Independent professional relationship
Professionals participate as independent providers using EDHA's discovery, booking, payment and online-session infrastructure. They are not employees, agents or partners of EDHA/Idalia Mental Health LLP. The professional independently provides the professional service and remains responsible for professional judgement, counselling approach, methodology, communications, assessments, advice, recommendations, referrals, documents and other professional material provided to the client.
2. Individual applicants only
Professional participation is available only to individual professionals applying in their personal professional capacity. Clinics, hospitals, companies, institutions, counselling centres, agencies and other organisations cannot register as a Mental Health Professional account. Applicants must use their own individual email address and mobile number; shared reception numbers, generic organisational email addresses or credentials belonging to another person must not be used for professional registration or verification.
3. Credentials, designation and scope
Professionals must provide truthful and current identity, qualification, training, experience and registration information where applicable. EDHA may approve a designation, restrict displayed scope, request more information or decline publication. Professionals must practise only within competence and promptly report material credential, registration, disciplinary or practice-restriction changes.
4. Mandatory profile photograph and information
A recent passport-style head-and-shoulders profile photograph clearly showing the professional's face is mandatory. Full-length photographs, group photographs, logos, avatars, heavily edited photographs or images in which the face cannot be clearly identified are not accepted. Applications missing mandatory information, supporting evidence or an acceptable photograph may remain incomplete and will not be approved or published until requirements are satisfied.
5. Professional Practice & Conduct Guidelines
Participation is subject to EDHA's Professional Practice & Conduct Guidelines. Professionals must maintain appropriate boundaries, dignity, confidentiality, competence, non-discrimination and lawful professional conduct and must cooperate with reasonable EDHA reviews of serious service or conduct concerns.
6. Profile and services
Professionals are responsible for keeping permitted profile information, languages, genuine areas of support, therapeutic approach, services, fees and availability accurate. Verified identity, designation, qualification and registration fields may require EDHA review before changes are published.
7. Availability and reliability
Open appointment slots only when you reasonably expect to be available. If availability changes, promptly close affected unbooked slots and review all future open slots. Attend confirmed sessions on time. Repeated avoidable cancellations, non-attendance or unreliable availability may lead to warning, booking restrictions, suspension or removal from EDHA.
8. Rescheduling
A booked session may be rescheduled only with the same professional, ordinarily at least two hours before the scheduled start and normally once per booking. If your availability changes after booking, promptly coordinate with the client and make reasonable efforts to agree another mutually convenient time. The client is not required to accept a professional-initiated reschedule. Every revised date/time must be updated inside EDHA.
9. Bookings and client contact
After successful payment and confirmed booking, EDHA may disclose registered client and professional contact details to the other party for legitimate session coordination. Professionals must not use client contact information for unrelated marketing, harassment, unauthorised solicitation or disclosure.
10. Confidentiality and records
Professionals remain responsible for professional confidentiality, appropriate record practices and lawful handling of client information. EDHA sessions must not be secretly recorded or redistributed. Disclosure should occur only with appropriate authorisation or where permitted or required under applicable law or professional obligations.
11. Professional conduct concerns
Clients may report concerns about inappropriate discussion, harassment, boundary violations, discriminatory conduct, misleading representation, privacy issues or other serious professional behaviour to ask@edha.life. EDHA may seek information from the professional, review relevant platform records, restrict or suspend bookings/profile visibility, discontinue participation or take other appropriate platform-level action. EDHA's review is not a substitute for a police, emergency, statutory or regulatory process where appropriate.
12. EDHA's platform role and professional responsibility
EDHA does not supervise, prescribe, direct or control the professional judgement, therapeutic methodology, counselling content, clinical decisions, opinions or communications of an independent professional. To the extent permitted by applicable law, EDHA is not responsible for professional judgement, therapeutic outcomes, statements, advice, methodologies, conduct or materials independently provided by a professional. Nothing in these Terms excludes any responsibility that cannot lawfully be excluded.
13. Fees and platform/service fee
Under the current commercial model, 75% of the applicable session fee is the professional's gross entitlement and 25% is EDHA's platform/service fee. Payment-gateway charges are an EDHA/Idalia merchant cost under the current model. Tax and statutory treatment remains subject to applicable law.
14. Fortnightly payouts
Eligible sessions completed from the 1st to the 15th fall into the first monthly payout cycle, and sessions from the 16th to the last day fall into the second. Eligible payouts are ordinarily processed within five business days after the relevant period ends. Disputed, cancelled, refunded, failed, incomplete, technically unresolved or otherwise ineligible sessions may be held and considered in a later cycle.
15. Statements and statutory deductions
Payout records may show eligible sessions, gross professional entitlement, EDHA's platform/service fee, applicable statutory deductions where legally required, adjustments and net bank transfer.
16. Safety, referral and platform suitability
Professionals remain responsible for appropriate professional judgement, including referral or escalation when a client's needs fall outside competence or are unsuitable for online support. EDHA is not an emergency or crisis response service.
17. Review, restriction and removal
EDHA may request further verification, restrict scope or bookings, pause visibility, suspend or remove a professional where reasonably required by credential concerns, serious or repeated conduct/reliability issues, client safety, material policy breach, legal requirements or platform integrity.
Account closure
A professional may permanently close the EDHA account only after all booked sessions and unresolved matters are completed or otherwise resolved, and after all eligible professional payouts, adjustments, refunds and other financial transactions have been settled. EDHA does not treat account closure as a forfeiture of an otherwise earned eligible payout; closure remains blocked until settlement is complete. On eligible closure, the public profile and future availability are removed and the active account cannot be restored. EDHA may retain limited records where reasonably necessary for accounting, payment, audit, dispute, fraud-prevention, security, professional-verification or legal-compliance purposes.
Admin-assisted account closure
Where a client or professional asks EDHA to close an account, the request should be sent from the registered email address. EDHA Super Admin may complete closure only after the platform confirms that no open session, pending payment, refund, professional payout or unresolved support/review matter remains. The administrator processing the request must record their name, the date/time and the reason for closure. EDHA retains a limited closure audit record and any records that must be retained for legal, accounting, payment, dispute, fraud-prevention, security or professional-verification purposes.
Institutional sessions
EDHA may facilitate separately arranged talks, workshops, webinars, panels and related mental and emotional well-being sessions for organisations, institutions, NGOs and community groups through suitable independent Mental Health Professionals. These engagements are separate from individual counselling bookings. Scope, audience, format, professional, date, duration, location, fees and other commercial or operational terms are agreed separately for each engagement. A professional's normal counselling fee displayed on EDHA does not set the fee for an institutional engagement.
